ElectriCities Statement Regarding Duke/Progress Merger

January 11, 2011

ElectriCities is closely following this week's news that Duke Energy and Progress Energy are planning to merge. ElectriCities CEO Graham Edwards has spoken with Duke Energy and Progress Energy executives, and both have committed to working closely with ElectriCities.

The proposed merger is a very complex transaction subject to many regulatory approvals. Duke Energy and Progress Energy estimate the merger will close in the fourth quarter 2011.

We are establishing a work team to lead the Power Agencies and ElectriCities through the merger process and review the effects of this transaction. It is very early in the process, and it will take time to identify and evaluate the potential impact on the Power Agencies and ElectriCities. Nonetheless, be assured that this team will fully evaluate this transaction and take the necessary steps to protect the interests of our members.

ElectriCities will apprise the Boards of Commissioners and Board of Directors of developments every step of the way.
